These Terms of Service constitute a legally binding agreement between you ("Client") and MotivLab ("Service Provider") regarding the provision of website development services.

Agreement Overview

Scope and interpretation of terms

These Terms of Service govern all website development projects undertaken by MotivLab for the Client. By engaging our services, the Client agrees to be bound by these terms.

Definitions:

  • "Client" refers to the individual or entity engaging MotivLab's services
  • "Service Provider" refers to MotivLab and its employees, contractors, and agents
  • "Project" refers to the specific website development work to be performed
  • "Deliverables" refers to the completed website, code, design, and documentation
  • "Services" refers to website development, design, and related services

Supplemental Agreements

Specific project details, timelines, and costs will be outlined in separate project proposals or statements of work. In case of conflict between these Terms and a project proposal, the project proposal will prevail for that specific project.

Services and Deliverables

What we provide and what you receive

MotivLab agrees to provide website development services as specified in the project proposal. The scope of services typically includes:

  • Website design and user interface development
  • Frontend and backend development
  • Admin dashboard development
  • Testing and quality assurance
  • Deployment to live server
  • Training on website management
  • Post-launch support (as specified)

Deliverables: Upon project completion and full payment, the Client will receive:

  • Complete website source code
  • Database (if applicable)
  • Design files and assets
  • Documentation and user guides
  • Admin access credentials

Important: Third-Party Services

Domain registration, hosting, and SSL certificates are third-party services not included in our development fees. The Client is responsible for purchasing and maintaining these services. We can assist with setup for an additional fee.

Client Responsibilities

What we need from you for successful project delivery

The Client agrees to:

  • Provide all necessary content (text, images, logos) in a timely manner
  • Make key personnel available for meetings and decisions
  • Provide feedback within agreed timeframes (typically 3-5 business days)
  • Make payments according to the agreed schedule
  • Obtain necessary licenses for any third-party content used
  • Provide accurate information about business requirements
  • Secure necessary domain names and hosting accounts

Content Provision: The Client is responsible for providing all website content. If the Client fails to provide content within 30 days of request, MotivLab may:

  • Place the project on hold
  • Charge storage fees
  • Terminate the project with applicable cancellation fees

Timeline Impact

Delays in providing content, feedback, or decisions will extend the project timeline proportionally. We cannot be held responsible for delays caused by the Client's failure to meet their responsibilities.

Payment Terms

Costs, payment schedule, and fees

All fees and payment terms will be specified in the project proposal. Standard payment terms include:

Late Payments: Payments are due within 7 days of invoice date. Late payments will incur:

  • 5% late fee for payments 7-30 days overdue
  • 10% late fee for payments 31-60 days overdue
  • Project suspension for payments over 60 days overdue

Additional Costs: The Client is responsible for:

  • Third-party services (domain, hosting, SSL)
  • Stock images, fonts, or plugins not included in the package
  • Additional features requested after project scope is finalized
  • Bank transfer fees

Intellectual Property Rights

Ownership of work and assets

Client Materials: The Client retains ownership of all materials provided to MotivLab, including logos, brand assets, and content.

MotivLab Deliverables: Upon full payment of all fees, MotivLab grants the Client:

  • Exclusive, perpetual license to use the completed website
  • Right to modify, update, and maintain the website
  • Ownership of custom code developed specifically for the Client

Retained Rights: MotivLab retains the right to:

  • Use the project in our portfolio and marketing materials
  • Reuse generic code modules and frameworks
  • Own pre-existing code and libraries used in the project

Third-Party Components: Some components may be licensed under third-party agreements (e.g., plugins, themes). The Client is responsible for complying with these licenses.

Important: Source Code Access

Full source code and database will be delivered only after final payment is received. We retain the right to withhold deliverables until all invoices are paid in full.

Revisions and Scope Changes

Managing changes to project requirements

Included Revisions: Each package includes a specified number of revision rounds:

  • Basic Package: 2 design revisions, 1 functionality revision
  • Professional Package: 3 design revisions, 2 functionality revisions
  • Business Package: 4 design revisions, 3 functionality revisions

Scope Changes: Any changes to the agreed project scope must be requested in writing. Scope changes may:

  • Require additional fees
  • Extend the project timeline
  • Require a change order agreement

Change Order Process:

  1. Client submits change request in writing
  2. MotivLab provides time and cost estimate
  3. Client approves estimate in writing
  4. Work begins on change request

Good Practice

To avoid scope creep and additional costs, we recommend finalizing all requirements before project commencement and using the included revision rounds effectively.

Warranties and Liabilities

Our guarantees and limitations of liability

Warranties: MotivLab warrants that:

  • Services will be performed with reasonable skill and care
  • Deliverables will be free from material defects for 90 days post-launch
  • Code will comply with current web standards
  • Website will be compatible with major browsers

Lifetime Warranty: All our websites come with a lifetime warranty on workmanship. If there are issues with our code, we'll fix them free of charge.

Limitation of Liability: MotivLab's total liability to the Client shall not exceed the total fees paid for the specific project. We are not liable for:

  • Indirect, consequential, or incidental damages
  • Loss of profits, revenue, or business opportunities
  • Third-party actions or failures
  • Issues arising from Client's misuse or modifications
  • Security breaches due to weak passwords or unauthorized access

Legal Disclaimer

We are not lawyers and do not provide legal advice. The Client is responsible for ensuring their website complies with all applicable laws (privacy, accessibility, e-commerce regulations, etc.).

Termination and Cancellation

Ending the agreement

Client Cancellation: The Client may cancel a project at any time by providing written notice. Cancellation fees apply:

  • Before design approval: 25% of total project fee
  • After design approval: 50% of total project fee
  • After development begins: 75% of total project fee
  • After completion: 100% of total project fee

MotivLab Termination: We may terminate a project if:

  • The Client fails to make payments
  • The Client fails to provide required content
  • The Client breaches these terms
  • The project becomes commercially unviable

Effects of Termination: Upon termination:

  • The Client pays all fees due up to termination date
  • MotivLab delivers completed work up to termination point
  • Both parties return each other's confidential information
  • Intellectual property rights provisions survive termination

Acceptance of Terms

By engaging MotivLab's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
